1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Investor Match by Incisive Ventures ("Company," "we," "us," or "our"), governing your access to and use of Investor Match (the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Investor Match is a software-as-a-service (SaaS) platform that helps startup founders find and connect with relevant venture capital investors. The Service includes:

• Pitch deck analysis using artificial intelligence
• Personalized investor recommendations with fit scores
• Contact information for recommended investors
• AI-generated email outreach templates
• Campaign management and tracking features
• Pitch deck evaluations, diligence materials, benchmarks, research, and data products

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

4. User Accounts

You may use certain features of the Service without creating an account. However, to access all features, you may need to register for an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access to your account
• Accept responsibility for all activities under your account

5. License and Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

5.1 Prohibited Uses

You agree NOT to:

• Use the Service for any unlawful purpose or in violation of these Terms
• Upload content that infringes intellectual property rights of others
• Submit false, misleading, or fraudulent information
• Reverse engineer, decompile, or disassemble any part of the Service
• Attempt to gain unauthorized access to our systems or networks
• Use automated tools (bots, scrapers) to access the Service without permission
• Resell, redistribute, or sublicense access to the Service
• Harass, abuse, or harm other users or our personnel
• Upload malware, viruses, or other harmful code
• Interfere with the proper operation of the Service

6. Pricing and Payment

6.1 Free and Paid Features

The Service offers both free and paid features. Free users receive a preview of investor recommendations (top 3 matches). A one-time payment unlocks full access to all recommendations, contact details, and email templates for that campaign.

6.2 Payment Processing

Payments are processed securely through Stripe. By making a purchase, you authorize us to charge your payment method for the amount due. All prices are in USD unless otherwise stated.

6.3 Refund Policy

We offer a 14-day money-back guarantee on paid unlocks. If you are not satisfied with your purchase, you may request a refund within 14 days of payment by clicking the "Refund" button on your campaign page. Refund requests are reviewed and processed within 48 hours. Once a refund is issued, access to the unlocked features will be revoked. 6.4 Discount Codes

Discount codes are subject to specific terms and conditions, may expire, and cannot be combined with other offers unless explicitly stated. We reserve the right to modify or discontinue discount programs at any time.

7. User Content

7.1 Ownership

You retain all ownership rights to content you upload to the Service, including pitch decks, company information, and other materials ("User Content"). We do not claim ownership of your User Content.

7.2 Source Deck License

By uploading User Content, you grant us a limited, non-exclusive license to use, host, copy, secure, transmit to our service providers, and process it to operate the Service, deliver requested products, and create Derived Information as described below.

7.3 Source Deck Materials and Derived Information

"Source Deck Materials" means the submitted deck file and its slides, images, deck text, and excerpts. "Derived Information" means information extracted, normalized, researched, classified, evaluated, calculated, or inferred from User Content or through the Service. Derived Information may include company- or person-identifiable facts and analysis about a company, founder, team, product, market, customer, competitor, traction, financing round, investor, match, outcome, deck quality, risk, score, or recommendation. Derived Information does not include the Source Deck Materials themselves.

7.4 Commercial Rights in Derived Information

If you affirmatively accept this version of the Terms when submitting a deck, you grant us a worldwide, perpetual, irrevocable (subject to rights that cannot be waived under applicable privacy law), transferable, sublicensable, royalty-free license to create, use, reproduce, modify, combine, analyze, publish, distribute, sell, and license Derived Information for any lawful business purpose. These purposes include internal quality improvement, investor matching, deck evaluations, benchmarks, trend reports, diligence products, research, analytics, and other commercial data products. Derived Information may be licensed or sold at an aggregate level or at an identifiable company or person level, subject to applicable law and our Privacy Policy.

To the extent permitted by law, we own the Service-generated models, taxonomies, scores, inferences, analyses, compilations, and databases that we create, without taking ownership of your Source Deck Materials or any intellectual property you owned before submission.

7.5 Restrictions on Source Deck Use

We will not sell or externally license Source Deck Materials. We may disclose Source Deck Materials to service providers that process them for us, when legally required, or to another party when you separately direct or authorize us to do so. The commercial rights above do not by themselves authorize us or our AI providers to use Source Deck Materials to train a generalized third-party AI model.

7.6 Prospective Application

Sections 7.3 through 7.5 apply only to a submission for which we capture affirmative acceptance of this version of the Terms. They do not retroactively expand our rights in a deck submitted under an earlier version unless an authorized person later affirmatively opts that submission in.

7.7 Representations

You represent and warrant that:

• You own or have the necessary rights to your User Content
• You have authority to grant the licenses in this Section 7
• Your User Content does not infringe any third-party rights
• Your User Content is accurate and not misleading

8. Intellectual Property

The Service, including its original content, features, functionality, design, and underlying technology, is owned by Investor Match by Incisive Ventures and is protected by copyright, trademark, and other intellectual property laws.

Our name, logo, and all related names, logos, and slogans are trademarks ofInvestor Match by Incisive Ventures. You may not use these marks without our prior written permission.

9. AI-Generated Content

The Service uses artificial intelligence to analyze pitch decks and generate investor recommendations, fit scores, and email templates. You acknowledge that:

• AI-generated content is provided for informational purposes only
• Recommendations are not guaranteed to result in successful funding
• You should independently verify investor information before outreach
• AI analysis may not capture all nuances of your business
• We are not responsible for the accuracy of AI-generated content

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF AI-GENERATED CONTENT
• WARRANTIES THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS

We do not guarantee that using the Service will result in successful fundraising or investor meetings.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVESTOR MATCH BY INCISIVE VENTURES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
• DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR DATA

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Investor Match by Incisive Ventures and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content

13. Dispute Resolution

13.1 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Delaware, USA, and the arbitrator's decision shall be final and binding.

13.2 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

13.3 Exceptions

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to prevent imminent or ongoing harm related to intellectual property infringement or breach of confidentiality obligations.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

• Your license to use the Service immediately ends
• You may request deletion of your data per our Privacy Policy
• We may retain data as required by law or for legitimate business purposes
• All provisions that should survive termination will remain in effect

16. Changes to Terms

We may modify these Terms prospectively. We will provide prominent notice of material changes and request affirmative acceptance when a change materially expands how we may use previously submitted User Content. Posting new terms or continued use alone will not retroactively expand our rights in User Content submitted under an earlier version.

17. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
• Force Majeure: We are not liable for delays or failures caused by circumstances beyond our control.
